These Terms of Service ("Terms") govern your engagement with StandKnown ("we", "us", or "StandKnown"). By engaging StandKnown for services or using this website, you agree to these Terms.
1. Services
StandKnown provides marketing and visibility services for local businesses, including answer engine optimization (AEO), local SEO, Google Business Profile management, website design and development, content writing, social media management, photo and video production, paid ads management, branding and design, and analytics reporting. Specific services, deliverables, and timelines for your engagement are defined in your signed statement of work ("SOW").
2. Fees and payment
Fees are invoiced monthly in advance for retainer services and upon milestone completion for one-time project services, unless otherwise specified in your SOW. Payment is due within 7 days of invoice. Late payment may suspend service delivery. Ad spend budgets are separate from StandKnown management fees and are billed directly by the ad platform to your account.
3. 90-day refund guarantee
For retainer services, StandKnown offers a 90-day traffic lift guarantee. If AI-sourced traffic to your business, measured in your StandKnown dashboard, has not demonstrably increased over your first 90 days of service, you may request a refund of all fees paid during that period. Refund requests must be submitted in writing to team@standknown.com within 7 days of the end of your 90-day period. Refunds are issued within 30 days of request. Ad spend paid to third- party platforms is not refundable by StandKnown.
4. Term and termination
Retainer engagements are month-to-month unless otherwise specified in your SOW. Either party may terminate with 30 days written notice. Full Service engagements that include website or branding work have a 6-month minimum term because the initial build work is upfront. Upon termination, you retain ownership of all deliverables produced under your SOW through the termination date.
5. Ownership and licenses
You own all deliverables produced under your SOW — website code, content, photos, video, blog posts, brand assets. StandKnown retains no ownership of client-specific work product. StandKnown may use anonymized aggregate performance data for internal benchmarking. StandKnown may reference your business as a client in portfolio and case-study materials unless you opt out in writing.
6. Confidentiality
Each party will protect the other's confidential information with reasonable care and will not disclose it to third parties except as necessary to perform services under the engagement.
7. Limitation of liability
StandKnown's total aggregate liability under these Terms shall not exceed the fees paid by you to StandKnown in the three months preceding the claim. StandKnown is not liable for indirect, incidental, consequential, or punitive damages. Marketing results depend on many factors outside our control (platform algorithms, competitive dynamics, broader economic conditions) and we do not guarantee specific outcomes beyond the 90-day refund terms above.
8. Indemnification
You agree to indemnify StandKnown against claims arising from your business, products, services, or any content you provide to us (including trademark, copyright, or defamation claims). StandKnown agrees to indemnify you against claims that our original work product infringes third-party intellectual property rights.
9. Governing law
These Terms are governed by the laws of the State of Texas, USA. Any disputes shall be resolved in the state or federal courts located in Dallas County, Texas.
10. Changes to these Terms
We may update these Terms occasionally. Continued use of our services after an update constitutes acceptance of the revised Terms. Material changes affecting existing engagements will be communicated in writing with 30 days advance notice.
